Corporate Conduct Charter and Code of Conduct

The Oiles Group’s Corporate Conduct Charter

The Oiles Group shall comply with laws and ordinances and act in line with the following 10 principles following social ethics and sound judgment.

  1. We shall create safe products and services that meet the needs of our customers and help people enjoy comfortable and safe lives.
  2. We shall engage in fair, transparent, and open competition and appropriate business transactions, and we shall not pursue profits through unfair or improper means. We shall not engage in bribery in Japan or overseas.
  3. We shall properly manage corporate information and actively disclose it in a timely manner.
    We shall also fully protect and appropriately manage personal and customer information.
  4. We shall respect the human rights, diversity, identity, and individuality of all of our stakeholders and ensure a safe and comfortable working environment free from discrimination.
  5. We are actively committed to protecting the global environment.
  6. We shall actively strive to contribute to society and work broadly for the mutual benefit of society.
  7. We shall have no connections to antisocial forces or organizations that threaten the order or safety of society, and we shall steadfastly confront them.
  8. We shall comply with the laws of each country and region and respect various international norms, including human rights. Moreover, we shall build trust with our stakeholders and promote mutual development through management that takes the culture, customs, and interests of our stakeholders into consideration. We shall also strive to procure goods with due consideration for their impact on society and the environment.
  9. We shall properly safeguard the company’s assets, and we shall not use them for any purposes other than business or business-related activities.
  10. We shall strive to protect and respect intellectual property.

The Oiles Group’s Corporate Code of Conduct

    1. We shall provide safe products and services that meet the customer needs and contribute to comfortable and safe living.

1-1 We shall identify the needs of customers and strive to conduct research, develop and improve in technology so that we can contribute to the evolution of a sustainable society and provide products and services that are beneficial to society in a safe manner.
1-2 We shall strive to achieve global customer satisfaction and trust by establishing a system to secure the quality and safety of products and services that respond to global business development.
1-3 We shall strive to sincerely respond to customers’ demands and incorporate them in the improvement and development of our products and services.
1-4 We shall provide customers with accurate knowledge and safety-related information on products and services. We shall also release any defect information promptly and appropriately and strive to establish a system that ensures safety and prevents defect reoccurrence.
1-5 We shall strive to provide employees with in-house training on products and services so that they can help customers make the right decisions and free choices.

    2. We shall engage in proper trade based on fair, transparent and free competition and fair trade and shall not pursue profit through unfair or illegitimate means. We shall not engage in bribery in any countries.

2-1 We shall comply with the anti-trust laws and shall not conduct any unfair transactions such as price agreement (price cartel), bid rigging and resale price restriction.
2-2 Procurement activities and the transactions thereof, including review of new business partners and selection of suppliers, shall be appropriately performed by relevant departments under our company’s procurement policy.
2-3 We shall form a system that is necessary for maintaining global peace and safety, such as compliance with laws and regulations on security export control and response to conflict minerals.
2-4 We shall not provide excessive entertainment or expensive gifts. In cases where entertainment or gifts are necessary, they shall be within the social standards and shall not be offered for the purpose of acquiring unfair profits.
2-5 We shall establish healthy and normal relationships with political institutions and government administrations and shall never be engaged in any acts that might be misinterpreted as profit-sharing or collusion.
2-6 We shall comply with all applicable laws and internal regulations in the execution of transactions, act fairly and sincerely in all corporate activities, and shall not engage in any conduct that is contrary to the interests of the company.

    3. We shall manage corporate information properly and shall make timely and active disclosure. We properly and fully protect and manage personal information and customer information.

3-1 Through IR (Inventor Relations) activities, we shall disclose information on a fair basis and strive to understand one another by communicating well with stakeholders.
3-2 We shall disclose financial and non-financial information to various stakeholders appropriately on a timely basis so that we can obtain understanding and trust from them.
3-3 We shall properly manage internal information, especially confidential information such as technical and business information.
3-4 We shall appropriately manage information that is subject to insider trading and strive to provide training on illegal acts and prevent insider trading.
3-5 We shall respect the personal information protection law and manage personal information of customers, employees, etc. properly.
3-6 We shall strive to take technical and physical safety control measures to ensure the security of various information.

    4. We shall respect the human rights, diversity, personality and individuality of all stakeholders as well as ensure a safe and non-discriminatory work environment.

4-1 We shall be responsible for creating an environment where human rights are respected and shall honor the human rights of all stakeholders. In no event will child and forced labor be accepted.
4-2 We shall prohibit any and all discrimination based on race, color, sex, language, religion, political or other opinion, nationality, property, family origin or other position or profession, form of employment or any other similar reasons, aim for responsible labor practice and create an environment where diverse human resources can exercise their abilities and exhibit their originality.
4-3 We shall strive to prevent any act that is considered to be harassment, including sexual harassment, abuse of power and emotional abuse.
4-4 We shall assess and manage employees’ work hours appropriately in accordance with labor laws and regulations, including the labor standards law, and pay proper wages accordingly.
4-5 We shall promote the fulfillment of work-life balance of employees.
4-6 We shall create a work environment where employees can play an active part, assist self-reliant career and competence development and make efforts in the development of human resources that can perform well on a global level.
4-7 We shall aim to enhance occupational health and safety activities, promote hazard prevention, health management and work environment improvement, eliminate health problems and labor accidents due to overwork, etc. and actively work on employees’ safety and physical and mental health, including response to disasters such as earthquake and fire.
4-8 We shall exercise proper management and operation consistent with the worker dispatch law when using temporary workers.

    5. We shall actively engage in protection of the global environment.

5-1 We shall actively work on the reduction of carbon dioxide emissions to prevent global warming.
5-2 We shall proactively be engaged in 3R (Reduce, Reuse and Recycle) activities at all stages from product development, production, sales to disposition to form a recycling-based society.
5-3 We shall actively take environmental risk measures such as those to reduce environmental burden including waste disposal and those to prevent leakage or contamination of harmful substances.
5-4 We shall promote measures for the preservation of biological diversity and the sustainable use of natural resources.

    6. We shall actively apply ourselves to contribute to society and shall work broadly for the mutual benefit of society.

6-1 We shall grasp the needs of the local community, recognize our responsibility as a good corporate citizen, actively contribute to the society and promote the realization of an affluent society.
6-2 Each and every officer and employee shall engage in social contribution activities through volunteer activities, and the company shall support this.

    7. We shall not form any relationship whatsoever with and shall determinedly oppose anti-social forces and groups that threaten social order and safety.

7-1 We shall commit to eliminating anti-social forces and groups on a company-wide basis.
7-2 We shall promote the “3 + 1 No Movement against Gangs” and make our employees fully informed of the basic principles – “No using”, “No fear”, “No paying” and “No interacting” to prevent harm from anti-social forces.
7-3 We shall not be involved in any acts of terrorism, drug trafficking, money laundering, or other organized crimes, and shall exercise utmost caution to ensure that our activities are not used to facilitate such crimes.

    8. We shall build trust with stakeholders and seek mutual growth through corporate management not only complying with all applicable laws of the countries and regions and various international standards including human rights, but also respecting cultures, customs and stakeholders’ interest. We shall promote procurement considering the effects on both the societies and the environment.

8-1 We shall, in the globalizing business activities, respect and comply with various international norms and the laws of each country and region, including those related to human rights, and make our employees fully informed of our Conduct Charter and Code of Conduct.
8-2 We shall respect cultures, customs and religions of each country and region, disclose our views and policy to stakeholders in such countries and regions to seek understanding from them and engage in business activities based on mutual trust.
8-3 We shall promote Sustainable procurement considering human rights and environment, and promote Sustainability across the supply chain.
8-4 We shall strive to conduct responsible sourcing of minerals such as tin, tantalum, tungsten, gold, cobalt, and mica, which are mined or traded in conflict-affected and high-risk areas.

    9. We shall maintain corporate assets in an appropriate fashion and shall not use company assets for purposes other than the business operation or the business related operation.

9-1 We shall appropriately preserve the corporate assets, whether tangible or intangible, which are our important managerial resources and utilize them actively and effectively.
9-2 We shall use the corporate assets only for the business and the official activities permitted by the company and shall not use them for personal or improper purposes.
9-3 We shall keep accurate business records concerning all the accounting transactions and process them properly in accordance with laws, accounting standards and internal rules.

    10. We shall apply ourselves to the protection of and respect for intellectual property.

10-1 We shall recognize intellectual properties (patent right, utility model right, design right, trademark right, copyright and confidential information including knowhow) as critical managerial resources, strive to acquire intellectual properties through research & development and enhancement & improvement and protect our intellectual properties.
10-2 We shall protect our intellectual properties from infringement by others and strive to manufacture products that do not infringe intellectual property rights of others.
10-3 We shall protect intellectual properties created from joint development in an adequate manner in accordance with contracts and internal rules.
10-4 We shall license intellectual properties to a third party in an appropriate way in accordance with contracts and internal rules.
10-5 We shall manage intellectual properties properly and strive to prevent illegal disclosure and leakage.
